HKEX: Zero Tolerance to Inaccurate Bio Details About Directors | Perspectives & Events | Mayer Brown

In a recent statement of disciplinary action, The Stock Exchange of Hong Kong Limited (HKEX) censured a former executive director (the Director) for providing inaccurate, incorrect and/or misleading information to a listed company (Listco) in respect of her biographical details.

In addition to being publicly censured, the HKEX issued a ‘Prejudice to Investors’ Interest’ (PII) statement against the Director, which means in the opinion of HKEX, had the Director remained on the board of Listco, the retention of office by her would have been prejudicial to the interests of investors. Listco was also censured for publishing inaccurate information contained in the related appointment announcement.

In this case, Listco had announced in January 2021 the appointment of the Director whose biographical details (as set out in the announcement and repeated in the subsequent notice of annual general meeting) became subject of a complaint. 

In response to enquiries from HKEX, Listco published in April 2021 a clarification announcement admitting that certain statements contained in the appointment announcement could not be satisfactorily verified.

Specifically, these unverifiable statements were that the Director “held senior positions in certain well-known companies and different international financial institutions” – and “has accumulated extensive experience in stock and bond analysis, trading and portfolio construction, currency trading, non-performing asset investment, quantitative research and derivative trading”.

Such statements would therefore “be deleted in its entirety”, and the Director’s remuneration was adjusted downwards from HK$300,000 per month to HK$2 million per annum. 

However, the matter did not end with publication of the clarification announcement.

The Director tendered her resignation in November 2021. In addition to publishing the HKEX’s statement of disciplinary action, Listco issued a further announcement on 18 July 2022, admitting that neither the Director’s appointment nor her remuneration had been considered by its Nomination Committee and Remuneration Committee.

Listco and the relevant directors (i.e. directors at the time of the appointment announcement) apologised for failure to conduct due diligence of any newly appointed director – and those directors agreed to undergo 17 hours of training.

This case serves as a cautionary reminder that issuers must properly consider a director’s appointment in accordance with both the Corporate Governance Code and the terms of reference applicable to its Nomination and Remuneration Committees.

In particular, the background, education, qualifications, experience and other particulars of a director candidate must be independently verified.

Issuers cannot simply rely on information provided by a candidate or disclosed by other listed companies in their announcements, circulars and/or financial reports.

Sheriff details events leading up to Floyd Co. mass shooting

FLOYD COUNTY, Ky (WSAZ) — During a press conference Sunday, Floyd County Sheriff John Hunt shared events that led up to a violent, deadly standoff that occurred Thursday evening in the community of Allen.

The incident described by officials as a ‘war zone’ claimed the lives of three officers, a K-9 officer and injured four other people, including additional police officers.

Lance Storz is in the Pike County Detention Center on a $10 million cash bond facing several charges, including two counts of murder of a police officer. He also faces charges in connection with the death of K-9 Drago who served with the Floyd County Sheriff’s Department. A not guilty plea was entered on Storz’s behalf during a virtual court hearing.

Floyd County Sheriff John Hunt said Sunday the incident began Thursday, June 30 after the sheriff’s office received a phone call about a woman being held against her will.

When deputies arrived at the home in question near the intersection of Main Street and Railroad Street for a welfare check, a woman was waiting outside and ran to their cruisers, according to Sheriff Hunt.

The woman told deputies Lance Storz was inside the home and she was only able to leave because he was asleep.

Deputies retrieved the woman’s daughter who was at another home and took them both to a safe place, Sheriff Hunt reports.

While being interviewed, the woman accused Storz of taking her phone and holding her hostage inside the home for days.

Sheriff Hunt said the woman told deputies the only time she was able to use a phone was when Storz was sleeping. That is when she said she was able to contact a relative for help. That relative then called the sheriff’s department, Sheriff Hunt says.

Following the woman’s interview with officials, an Emergency Protection Order was filed.

The woman accused Storz of emotional and physical abuse, including rape. She also warned deputies by telling them that Storz had guns inside the home, the press conference Sunday revealed.

“The woman did say that Mr. Storz had firearms in the house. Deputies didn’t know at that time, obviously how many or to what extent his training was or if he had any,” said Sheriff Hunt.

An examination at the hospital did show signs of physical assault, deputies say.

Sheriff Hunt said Sunday a total of four deputies went to the home Thursday to serve the Emergency Protection Order and arrest Storz for fourth degree physical assault.

Deputies got their first glimpse of Storz in a window behind blinds when they first approached the home.

Deputy William Petry, a victim of Thursday’s shootout, was the first to go up to the house, Sheriff Hunt reported.

Hunt said Storz opened the door ‘like he had been waiting for police’ and started firing.

Sheriff Hunt tells WSAZ.com Storz was wearing a bullet proof vest and backpack when he started firing at police.

“The suspect opened the door like he had been waiting for them,” said Hunt. “He knew they were coming.”

Sheriff Hunt said at least one officer was forced to hide underneath his police vehicle for hours to avoid being shot.

“Deputy Lawson would have been the fourth car,” said Hunt. “Deputy Hall was the third car. Deputy Hall was able to roll out of his car and he was to the rear of the K-9 vehicle driven by deputy Newsome. Deputy Hall rolled under the car and remained hidden there for hours to come. When Deputy Lawson rolled out of his vehicle he was immediately shot.”

Names of others injured in mass shooting released

Deputy William Petry with the Floyd County Sheriff’s Department, Capt. Ralph Frasure with the Prestonsburg Police Department and Prestonsburg Police Officer Jacob R. Chaffins all died as a result of their injuries sustained during the shootout.

The 2022 event is set to be a culmination of the storylines more than five years in the making with plenty of new skins, missions, and rewards for players to soak up as the story progresses.

It’s that exact trailer that has been the source of leaks about what Star Guardian skins are on their way. The following champions were listed in tags for the new trailer: Ahri, Akali, Ekko Fiddlesticks, Kai’Sa, Miss Fortune, Morgana, Nilah, Orianna, Rell, Senna, Seraphine, Sona, and

What side of the fight each champion will be joining remains to be seen, but the sheer number of skins and promotion means we’re preparing for an event of the scale of 2021’s Ruination.

As part of the League of Legends Star Guardian 2022 event, players will have to grind through missions to progress through the story and earn tokens for rewards. Whether it’ll follow a basic mission structure or a visual-novel style employed by Spirit Blossom in 2020 and Ruination in 2021 remains to be seen.

Interactive web portal details the extent of splicing events in noncoding sequences

An online tool reveals the extent of gene-restructuring events in noncoding sequences.

An interactive web portal developed by scientists at KAUST offers a platform for cancer researchers to interrogate how RNA splicing in noncoding parts of genes fuels the growth of different types of tumors.

The new resource, named SpUR (short for Splicing in Untranslated Regions) and freely available online, details more than 1,000 splicing events found frequently in cancers in noncoding regions of mRNA located just downstream of protein-coding stop signals. The sites and expression levels of these events are catalogued and visualized for nearly 8,000 samples across 10 cancer types and corresponding normal tissues.

With the tool, independent research teams can now further probe the role of individual splice events in cancer development and progression.

These events could become candidates to study RNA dysregulations in cancer for academic researchers. Or they could serve as a primary source for the development of RNA-based anti-cancer drugs.”

Computer scientist Gao, together with postdoc Bin Zhang and research engineer Adil Salhi, created the SpUR database in collaboration with researchers at the Cancer Science Institute of Singapore.

The research showed that splicing in downstream sequences of a gene (known as 3′ untranslated regions, or 3′ UTRs) is pervasive in cancers, especially in genes linked to tumor aggression. Consequently, patients whose cancers harbor more of these gene-restructuring events tend to have poorer survival outcomes.

As a proof of principle, the researchers designed splice-switching agents known as antisense oligonucleotides (ASOs) that could block this splicing process in 3′ UTRs. When administered to liver cancer cells, these drugs helped repress tumor growth. And since the same kinds of splicing events are “ubiquitously expressed across different cancer types,” Gao notes, this type of therapeutic strategy “could be helpful to develop broad-spectrum anti-cancer drugs.”

One potential target:CTNNB1, which is a gene that provides instructions for making a protein called beta-catenin. Drug companies have long tried to target beta-catenin, given its central role in many cancer-signaling pathways, but with only limited success. The study from Gao and his collaborators showed that splicing in the 3′ UTR ofCTNNB1is widespread across cancers of the liver, breast, colon, kidney, lung and other organs, and that a spliced variant is the predominant driver of tumor progression.

In a mouse model of liver cancer, blocking this splicing resulted in complete tumor regression. An ASO therapy directed atCTNNB1splicing could therefore have broad utility in patients, and, as Gao points out, it is not likely to be the only one.

Caribbean destinations and tourism stakeholders are joyfully welcoming the return of a multitude of buoyant cultural festivals, each focused on the distinctive music, cuisine, dance and arts attached to the panoply of regional nations.

Largely freed from bans on large outdoor gatherings driven by two years of pandemic-imposed restrictions, several countries are preparing for the resumption of events, from the Anguilla Culinary Experience to Barbados’ Crop Over, the British Virgin Islands’ Food Fete, Grenada’s Chocolate Festival, Nevis’ Mango and Food Festival, the Saint Kitts Music Festival, regattas in Carriacou and Saint Barth, Saint Lucia’s long-running Jazz and Arts Festival, plus New Year’s and Carnival celebrations in the Bahamas and Saint Lucia.

Their return follows the launch of the first comprehensive, centralized resource for information on the region’s numerous events. Veteran Caribbean tourism and travel marketer Nerdin St. Rose first launched Caribbean Events in 2018 and has fully resumed the site as nations and suppliers resume tourism activity in the outbreak’s wake. We spoke recently with Nerdin to learn how she created a timely resource for diverse events across the region.

TP: What led you to create the website?

NS: I’m so passionate about Caribbean events because my background comes from events. I worked with great event productions; I was involved with the Jazz Festival in the 1990’s so you know I love events. I’ve created a platform where people can [access] all of the events taking place in the Caribbean. We sort of want them to stop thinking only about sun sand and sea but also about the other things they can enjoy and experience.

TP: You launched your company just before the pandemic outbreak. How did you deal with the impact?

NS: Yes, you know for me like for all of us it was hard to deal with. But it gave me time to reflect as well. I kind of got my life back because when COVID happened I was in hospital undergoing major surgery.

TP: What did you do during and in the aftermath of your treatment?

NS: I used that time to think about it what I wanted to do. Events had shut down, but by August of 2020 I was thinking ‘OK, well maybe we could start planning for events in 2021.’ It was a lot of ‘let’s wait and see.’

TP: How do you describe the site?

[The site] features all of the key Caribbean events with information, dates, descriptions and photos. We [publicize] the events through our own social channels as well, promoting the site as a place people can find easily as soon as they do a search for Caribbean events. I’ve been reaching out to the different destinations to ensure they keep us in the loop when they’re getting ready to announce events.

I’m also reaching out to some regional airlines to promote Caribbean Events [including] links on their websites. We’re looking at [event] ticketing and adding accommodation options highlighting hotels in and around events. The site is going to get better later in the year as we add more events.

TP: What are your short-term initiatives?

NS: We’re adding events now and I’m reaching out to all of the islands as they release the information, which we added to the website. I continue to do work we’re ramping up through 2022. Suppliers don’t have to pay for their events to be listed on our site; we’re sort of an aggregator. We were picking up just prior to the pandemic and actually started getting a lot more momentum and interest. We were promoting and have over 200 events on the site.

TP: It had to be difficult to deal with the dual challenges of personal health concerns and the pandemic, which impacted everyone. How has your experience affected your business outlook?

NS: Hey [those things] happened. During the pandemic, events were not happening, but we tried to keep people thinking about events although there wasn’t a whole lot of content. It’s just so good to see events coming back. It makes you feel even more positive and more encouraged and I’m excited about that.

Charles County Public Schools (CCPS) Superintendent Maria Navarro, Ed.D., is hosting several upcoming community engagement opportunities about the new CCPS Strategic Plan. At the events, Superintendent Navarro will share a presentation about focal priority areas, goals, strategies and assessments relating to school system priorities to ensure all students are prepared for life post-graduation.

The schedule below outlines both in-person and virtual events. Those identified for staff may include different messaging than events labeled for parent and community member audiences.

Apart from the event here is what the patch has brought to the game.

1. New Weapon: MG3

The MG3 is an LMG that uses 7.62mm ammo and has a magazine capacity of 75 rounds. This gun will spawn in Care Packages in all Maps. It also has a chance of appearing in the Weapons Box, which is located in the Police Station in Chester, Troi. The MG3 has two rates of fire: 660RPM and 990RPM. The weapon’s rate of fire is set at 990RPM by default. When the MG3’s rate of fire is set to 990RPM, the weapon deals the most DPS out of any weapons in the game.

2. New Gun Customizations: Vector [C2] Drum Magazine

Using this customization on the Vector attaches an high-capacity magazine capable of holding 45 rounds to the gun. However, this customization will significantly decrease reload speed, so it will take more time to reload.

Mini-14 [C2] Open Stock Slot

This customization will open up the Stock Slot on the Mini-14, allowing for tactical stock attachments that strengthen stability and recoil control. However, this customization will slightly decrease ADS speed, so it will take more time to ADS.

3. Survivor Pass Vol. 5:

This Survivor Pass introduces Cynthia Song of Project Justice. Complete all the Story Missions to get her costumes and character appearance! You can get the [Shadow Assassin] costume set by upgrading to the Premium Pass. You can get even better rewards by purchasing the Premium+ Pass. With the level rewards in this Premium Pass, you can get enough NC to purchase the next Premium Pass!

4. Story Mission Reward Updates

You can now preview character appearances that can be obtained by completing Story Missions in the [Story Mission] screen. You can also zoom in and out to see these character appearances in detail You can press and hold the [Total Progress Rewards] button for Story Missions in order to see more information.

5. Lobby Theme Update

Spring is here, and the Lobby theme has been changed to match! New State Mobile is also wrapping up Season 1 and kicking off Season 2 in this patch! When you enter the Lobby, you will receive a season summary as well as your rewards for Season 1. Tiers will also be reset for Season 2 depending on your final Season 1 Tiers.
